DISTRIBUTOR'S TERMS AND CONDITION

Section 1: General Article 1 (Objective)

Zeeyu’s mission is to be everyone’s vehicle to freedom, by helping each other achieve everyone’s dream like a family. Empower each person to become a joyfully independent being, by sharing Divine’s infinite knowledge on health, healing and life as stated in our company’s vision. We emphasize that overall well-being is more than just being healthy, its a combination of a physical, emotional, financial and spiritual wellness.

Backed by scientific research, we offer industry-first innovative health products as we empower everyone to live their dreams. We advocate fairness in how we deal with everyone, regardless of race, age, gender and religion.

We believe that by sharing the fruits of our labor to those who have less (knowledge, opportunity, skills), we become the person we truly want to be: independent, compassionate human beings living our dreams.

Article 2 (Operations)

Zeeyu Business Operations

Retail Business of Innovative Health Products.

Promotion of product- and business-related knowledge thru training courses, seminars,

and other such events; and provides existing and prospective members with appropriate information.

Creation of a membership-based retail business model, with sales incentives for each of the members

Section 2: Membership Article 3 (Member Definition)

Member refers to a person or corporation who has fully understood and agreed to the terms and conditions, distributors agreement as well as the compensation plan, complies with all the necessary requirements set forth by Zeeyu and hereby approved by Zeeyu.

Article 4 (Membership Eligibility)
Any person of legal age and able mind, with permanent residency in the Philippines is eligible to register as a Zeeyu member. Corporations may also be a member, provided it submits all necessary requirements to Zeeyu.

Persons living outside of the Philippines can become a member, however they must still have a valid TIN number and Philippine address to be eligible.

Article 5 (Rights and Responsibilities of Members)
Once a member is approved by Zeeyu they are entitled to the following:

Sell Zeeyu products to non-members at the suggested retail price

Eligible to sponsor a person to join Zeeyu as a member

Eligible to receive commissions and bonuses as per stated in the Zeeyu Compensation Plan

Participate in all Zeeyu related marketing and sales training as well as other activities set forth by Zeeyu.

Members are not employees of Zeeyu. Members are independent self-employed business owners and, as such, are solely responsible for conducting their own business activities (including obtaining any required permits and/or licenses set forth by the national and local government).

Each Member agrees that they are not authorised to conduct any business activities in behalf of Zeeyu aside from what is mentioned in Article 5.1

Members shall hold Zeeyu free from any liability arising from its own acts, omissions or misrepresentations arising

out of, or in connection with their sales, recruitment or activities regarding Zeeyu products and/or Zeeyu Ventures Corporation.

Members shall be solely responsible to declare for any and all income tax generated from: 1. retail product sale of Zeeyu products, 2. commissions, awards and bonuses derived from the compensation plan of Zeeyu.

Members shall abide by the Membership Terms and Conditions, including confidentiality agreements regarding Zeeyu products, marketing and its compensation plans.

Members shall not conduct any activity that are criminal in nature , that damages the credibility or reputation of Zeeyu Corporation.

Under no circumstance, that members shall claim Zeeyu products are for treatment of any medical condition.

All contents (Audio visual presentations, written paraphernalia) from Zeeyu, as well as all those recorded at official Zeeyu events are wholly owned by Zeeyu and therefore is copyrighted material. Members are prohibited to share, upload, submit, publish, or reproduce for sale or distribution any such content without written permission from Zeeyu. Only marketing and promotional materials ie. video, audio and written materials, created and/or approved by Zeeyu are considered official.

Zeeyu prohibits the use of its trade names, trademarks, trade names, logo, or designs pertaining to Zeeyu to

any person, including Zeeyu members, without its prior, written permission by the management.

Members are prohibited to use the Zeeyu Compensation Plan, in combination with any other system, promotions, sales, or marketing other than that officially provided by Zeeyu.

Members shall not coerce, or encourage other current or prospective members to execute agreements other than the Zeeyu terms and conditions, members guide and compensation plan to become a Zeeyu member.

Members are not required to make any payments to any individuals or purchase products other than what is required in the Zeeyu Compensation Plan.

Members shall give the correct personal information (name, contact details, email address, Tax identification number, as well as other information deemed necessary) at the time of membership registration. Members are required to correct or update any of any changes to these information.

Article 6 (Prohibited Conduct)

All persons are not permitted from the following activities when transacting as a Zeeyu member:

Buying/Selling products from individuals, stores and online auction sites other than from the official Zeeyu website, Zeeyu Product Hub.

Publicly selling or promoting Zeeyu products in any retail or wholesale establishment without prior written permission of Zeeyu Management.

Providing false/misleading or withholding personal information to Zeeyu in relation to his/her registration details.

Providing false/misleading or withholding pertinent information regarding Zeeyu corporation, its products, and all related information in order to enroll a new member.

Carrying out any of the following activities when enrolling or attempting to enroll prospective members:

Deliberately not stating the purpose of the meeting

/visit prior to discussing Zeeyu products and/or the Zeeyu compensation plan.

Stating erroneous or exaggerated claims about Zeeyu, its products and compensation plan.

Enrolling a person who is ineligible for membership (see Article 4).

Coercing or forcing a new member to enroll and/ or buy products.

Making exaggerated or inaccurate claims to a prospective or active member that Zeeyu compensation plan will guarantee a big profit quickly.

Use of Zeeyu’ trademarks, trade name, logos, designs, copyright materials, or intellectual property, or any information provided at Zeeyu presentations , seminars for public viewing, online websites, social media without the prior written consent of Zeeyu.

Recording or documenting audio or video presentations of Zeeyu seminars or events, without the prior written consent of Zeeyu.

Attempting to promote/sell competitors’ products to Zeeyu members.

Involving other Zeeyu members in activities unrelated to Zeeyu business activities, such as political activities, religious activities, or any activities related to other business ventures.

Registering as a member, purchasing products, or lodging a change request under a false or fictitious name.

Registering as a member, purchasing products, or lodging a change request under another person’s name (name lending), or completing a form (order form, etc.) on another member’s behalf without their permission.

Attempting to prevent a new member from cancelling their membership during the cooling-off period.

Receiving bonuses or other forms of compensation through dishonest or fraudulent means.

Attempting to reposition one’s downline group within the Zeeyu network, or soliciting group members to go and work for a competitor.

Receiving money or other goods of value from other members at a Zeeyu facility or seminar venue.

Establishing an office or branch without the approval of Zeeyu.

Any conduct that violates or potentially violates relevant laws or regulations of the Philippines.

Article 7 (Online/Social Media Conduct)
When registering a new Member through the online registration process, the sponsor (enroller) may assist the new applicant in filling out the registration materials. However, the applicant must personally review and agree to the online application and agreement, and the Zeeyu Member’s Guide, especially the Membership Terms & Conditions and Zeeyu Compensation Plan. The Sponsor may not complete the online application on behalf of the applicant and agree to these Membership Terms & Conditions on behalf of the applicant.

Social Media sites are relationship-building sites, and while building relationships is an important part of the sales process, social media sites may not be used as a direct medium for explaining the Zeeyu Business Opportunity or Membership terms & Conditions, or for gathering information required to complete the member registration process on a prospective member’s behalf.

Social media sites may be used by members to share general information about Zeeyu products or the Zeeyu Business Opportunity when prospecting for new members. However, when a member generates in any social community where Zeeyu is discussed or mentioned must clearly identify the member as an independent Zeeyu member, and when a member participates in t h os e c om m u n i t ie s , t h e m e m be r m u s t a void inappropriate conversations, comments, images, video, audio, applications, or any other adult, profane, discriminatory, offensive, or vulgar content. The determination of what is inappropriate is at Zeeyu’ sole discretion, and offending Members will be subject to disciplinary action.

Members may not use the name ―Zeeyu or any form of

― Zeeyu in a team name, a tagline, a personal website address or extension, in an e-mail address, as a personal name, or as a nickname. For example, a m e m b e r m a y n o t s e c u re t h e d o m a i n n a m e www.buyZeeyu.com, nor may a Member create an email address such as Zeeyusales@gmail.com

Members must always abide the Philippine Data Privacy Act. Members must not engage in gossip or potentially slander or libelous acts about any individual, company, or competitive products or services. Members may not list the names of other individuals or entities on their postings unless they have the written permission of the individual or entity that is the subject of their posting.

Members should not engage with anybody who places a negative post against a member or Zeeyu. Negative posts should be reported to Zeeyu.

If a member’s membership is cancelled for any reason, the former member must discontinue using the Zeeyu name, and all of Zeeyu’ trademarks, trade names, service marks, and other intellectual property, and all derivatives of such marks and intellectual property, in any postings and all social media sites that the former member utilizes. If a former member posts on any social media site on which he or she previously identified himself or herself as Zeeyu member, the former member must conspicuously disclose that he or she is no longer a Zeeyu member.

Article 8 (Membership Transfer / Change of Name Requests)
Members cannot transfer their membership or rights stipulated within the Membership Terms & Conditions to a third party, or change the name under which the membership is registered, without the prior written consent of Zeeyu. Furthermore, members cannot use their membership as evidence of an income in order to secure loans, financing, or other benefits.

Where a change of name is approved by Zeeyu, the following restrictions shall apply:

In the case of individual members, the name may only be changed to that of a spouse or a relative within the third degree of kinship

In the case of corporate members, the name may only be changed to that of a person registered under the relevant company name.

Zeeyu reserves the right to disapprove any change of name as it may deem proper.

Article 9 (Membership Termination )
Membership shall be terminated in the following situations:

In the case of individual members, upon the member’s death. (However, the membership may be passed on to a spouse or a relative within the third degree of kinship if a membership succession application is submitted and this application is approved by Zeeyu).

In the case of corporate members, when the member commences liquidation or insolvency proceedings or officially declares bankruptcy.

If the member is found to not meet the eligibility criteria outlined in Article 4

If the member cancels their membership.

If the member is expelled by Zeeyu due to a violation of the membership Terms and Conditions.

Article 10 ( Consequences of Membership Termination)
The consequences of membership termination are as

follows:

Upon membership being terminated, a member forfeits all rights and is relieved of all obligations, excluding any unsettled payments and other

obligations arising prior to such termination of membership.

When membership is terminated due to a situation stipulated under Article 9, except in cases where the membership is passed onto a spouse or relative, repositioning of downline group members will be discussed by management.

Article 11 (Disciplinary Measures)

Zeeyu can, by its own authority, or based on a resolution handed down by the ethics committee (see Article 22), take disciplinary measures against a member (or in the case of a corporate member, all persons registered under the relevant company name) in the following circumstances:

If the member’s conduct defames Zeeyu or damages Zeeyu’ reputation in the public eye.

If the member violates any other Membership Terms and Conditions, or any other rules or regulations stipulated by Zeeyu.

Article 12 (Details of Disciplinary Measures)

Disciplinary measures may include any of the following:

Reprimand

Restrictions on business activities

Prohibited from enrolling or attempting to attract prospective members.

Prohibited from entering any Zeeyu facilities.

Prohibited from participating in seminars, meetings, or promotional events organized by Zeeyu.

Prohibited from holding seminars

Suspension of membership

Prohibited from purchasing Zeeyu products

Prohibited from enrolling or attempting to attract prospective members.

Prohibited from entering any Zeeyu facilities.

Prohibited from participating in any seminars, meetings, or promotional events organized by Zeeyu. 5 Prohibited from holding seminars

Expulsion

Article 13 ( Consequences of Membership Suspension, Expulsion)
In the event that a member is suspended or expelled by Zeeyu, in addition to the consequences stipulated under Article 10, the following consequences shall also apply:

Members who are expelled by Zeeyu shall have their membership terminated and will not be permitted to re-register as a member under any circumstances.

The spouse of a member who is suspended or expelled, as well as any persons living at the same residential address as this member shall receive the same punishment as the member and, in the case of expulsion, shall not be permitted to re-register as a member under any circumstances.

Article 14 (Payment of Commissions in the Event of Membership Suspension/Termination)
If membership is suspended or terminated, payment of bonuses will be handled as follows:

If a member’s membership is terminated due to expulsion (see Article 9, Item 3, 5 and Article 12), payment of commissions shall cease from the date the expulsion takes effect.

If membership is terminated in accordance with Article 9, Items 1, 2, or 4, bonuses shall be paid for the current cut off period and cease from the next cut off period following membership

termination.

If a member is suspended from performing business activities (see Article 12), commissions shall not be paid for the period of the suspension, and depending on the circumstances the member may also be stripped of any Title they may hold.

Article 15 (Membership Cancellation)
Membership can be cancelled at any time by a member forwarding a Membership Cancellation Form (available online or at Zeeyu office, completed by the member themselves, to Zeeyu.)

Cancellation will take effect from the date the Membership Cancellation Form arrives at the office of Zeeyu Ventures Corporation, provided that the member has fulfilled all outstanding obligations.

The foregoing notwithstanding, the official processing of membership cancellation shall take place on the first day of the following assessment period (the 16th day of the month).

Even after membership cancellation, if the member is deemed to have received undue profits in the form of bonuses or other compensation, the member must refund this amount to Zeeyu. Such cancellation shall make any obligations of the member to Zeeyu due and demandable.

In the event of membership cancellation, the former member must discontinue using the Zeeyu name,

and all of Zeeyu’ trademarks, trade names, service marks, and other intellectual property, and all derivatives of such marks and intellectual property effective immediately.

Section 3: Meetings

Article 16 (Meetings Procedure)
The purpose of holding meetings is to convey information required to perform business activities as contemplated under this Member’s Guide and to resolve issues relating to members’ business activities. Meetings are held as often as Zeeyu deems necessary.

Article 17 (Attendance by Proxy)

As a general rule, unless approved in advance by Zeeyu, attendance by proxy is not permitted.

Article 18 (Meeting Minutes)
Minutes of meeting proceedings will be taken, and these minutes will be signed off on by two or more nominated members who were in attendance.

Section 4: Changes to Membership Terms and Conditions

Any proposed changes to Membership Terms and

Conditions shall, where possible, be raised at a Director Meeting, and members opinions regarding the proposed changes shall be taken into account when Zeeyu makes a final decision.

This notwithstanding, Zeeyu reserves the right, at its discretion, to make changes to the Membership Terms and

Conditions in response to changes in the business environment, applicable laws, or Zeeyu’ circumstances. Members will be given prior notification of any changes to the Membership Terms and Conditions through Zeeyu’ official website (see Article 29 on Notices), and any notification posted in the official website will be deemed due notice to the Members.

Article 20 (Revisions to the Compensation Plan) Zeeyu may, at its discretion, make changes to the Compensation Plan in response to changes in the business environment, applicable laws, or Zeeyu’ circumstances. Members will be given prior notification of any changes to the Compensation Plan through Zeeyu’ official website (see Article 29 on Notices), and any notification posted in the official website will be deemed due notice to the Members.

Section 5: Miscellaneous Provisions

Article 21 (Ethics Committee)
An ethics committee shall be convened as Zeeyu deems necessary, to adjudicate on matters relating to the smooth execution of our purpose (stipulated under Article 1), to rule on any disciplinary measures to be imposed on a particular member, or to help resolve disputes between members. This committee will be comprised of Zeeyu staff and member representatives.

Article 22 (Complaint Management)
If a member is or becomes aware of any complaints regarding the conduct of a downline member, whether

directly involved or not, they shall work with Zeeyu to resolve the complaint.

Article 23 (Income Taxes)
Each member is responsible for paying taxes on income generated as an independent distributor that is subject to personal income tax. Zeeyu shall withhold the corresponding tax amount on payments made to members as may be required by applicable laws and regulations.

Article 24 (Product Quality Assurance)
Zeeyu warrants that the Products distributed by Zeeyu in the Philippines (―Products‖ meaning the products set forth in the Zeeyu Product Guidebook, which may be modified by Zeeyu from time to time), are in compliance with Philippine laws and regulations including but not limited to quality standards, food safety, and human health, where applicable. Zeeyu shall comply with the relevant Philippine consumer protection laws and regulations, and be liable for any imperfections in the quality of the Products.

Notwithstanding the foregoing, Zeeyu to the fullest extent permitted by laws and regulations shall have no responsibility to any person for any direct, indirect, consequential, incidental, special or punitive damages

resulting from misuse, overuse, abuse or any similar unreasonable use of the products. In all circumstances, consumers must comply with Zeeyu' instruction manuals or usage guidance in connection with the Products.

Section 6: Dispute Resolution

Article 25 (Mediation)
Prior to initiating arbitration proceedings, the parties shall meet in good faith and attempt to resolve any disputes arising from or relating to the Membership Contract through non-binding mediation.

Article 26 (Arbitration)
If mediation is unsuccessful, any dispute, controversy or claim arising out of or relating to the Membership Contract, or the breach, termination or invalidity thereof, shall be finally resolved by arbitration. The Parties waive all rights to trial by any court. The arbitration shall be filed with, and administered by, the Philippine Dispute Resolution Center (―PDRC‖) in accordance with its Rules of Arbitration.

All arbitration proceedings shall be held in the city of Makati in English. The parties shall jointly appoint one arbitrator to be selected from the panel of arbitrators accredited by the PDRC. Each party to the arbitration shall be responsible for its own costs and expenses of arbitration, including legal and filing fees. The decision of the arbitrator shall be final and binding on the parties and may, if necessary, be reduced to a judgment in any court of competent jurisdiction. This agreement to arbitrate shall survive the cancellation or termination of the Membership Contract.

The parties and the arbitrator shall maintain the confidentiality of the entire arbitration process and shall not

disclose to any person not directly involved in the arbitration process:

The substance of, or basis for, the controversy, dispute, or claim.

The content of any testimony or other evidence presented at an arbitration hearing or obtained through discovery in arbitration.

- The terms or amount of any arbitration award.

The rulings of the arbitrator on the procedural and/or substantive issues involved in the case.

Article 27 (Governing Law, Jurisdiction and Venue)
Jurisdiction and venue of any matter not subject to

arbitration shall reside exclusively in Manila, Philippines. The law of the Philippines shall govern all matters relating to or arising from the membership terms, agreements and policies.

Article 28 (Notices)
Any notice or communication that Zeeyu may desire to give to the Members shall be posted on its official website at: https://www.zeeyu.life/
